Global Business Club  Standard Membership Terms and Conditions (“Terms and Conditions”)

 

  • Interpretation
    • In these Terms and Conditions, the words below have the meanings next to them unless the context requires otherwise:
      • Business Club” means the global business club conducted by Great Business Platforms Limited (company no.08660704).
      • “Business Club Membership Form” means the electronic membership form available from the Business Club’s website, greatbusinessplatforms.com.
      • “Business Days” means a day other than a Saturday, Sunday or public holiday in England.
      • “Business Support Services” means the business support services provided by the Business Club as set out at section 5 of these Terms and Conditions.
      • “Contract Term” means the period of 6 months from submission of the Business Club Membership Form or earlier termination in accordance with these Terms and Conditions.
      • “Cool-Off Period” has the meaning ascribed to it under section 7 of these Terms and Conditions.
      • “Entry Fee” means the discounted entry fee(s) charged by the Business Club for admission to certain Business Support Services as specified under section 5.1.2 of these Terms and Conditions.
      • “Founder and Leader” means Sam Onigbanjo and/or any other leader expressly appointed and announced as leader by Sam Onigbanjo ONLY.
      • “Member” means the person named on the Business Club Membership Form and for whom, following acceptance by the Business Club, the Business Club has agreed to provide Business Support Services to, in accordance with these Terms and Conditions.
      • “Membership” means the period of time when a Member is contracted to the Business Club.
      • “Membership Fee” means the one-off six month fee of £129 /£350/£750 payable to the Business Club for the Contract Term.

 

  • Agreement

When applying for membership to the Business Club, the Member confirms that it has read and agrees to be bound by these Terms and Conditions.

 

  • Eligibility

Membership is open to those persons aspiring to develop their business, organisation and brand within a group of like-minded people. The Founder and Leader shall have sole discretion in relation to the acceptance of new members into the Business Club.

  • Governance

Subject to these Terms and Conditions, the Founder and Leader shall have sole discretion to decide on matters relating to the governance, membership, services, structure and other administrative matters relating to the Business Club.

 

  • Business Support Services
    • Subject to sections 15 and 19 of these Terms and Conditions, the Business Club shall offer Business Support Services to the Member. Business Support Services shall include the following:
      • Free of charge:
  1. Bi-monthly business support e-newsletters;
  2. Entry to the Member’s first local Business Club meeting;
    • Subject to an Entry Fee:
  3. Subsequent Business Club meetings;
  4. Networking opportunities with other business owners in the Member’s locality;
  5. Business skills and training opportunities;
  6. Guest speaker events;
  7. Business marketing and procurement opportunities; and/or
  8. Any other event, program or training offered by the Business Club.

 

  • Contract Term and Payments
    • In consideration for the Business Support Services, the Member shall pay the Business Club the Membership Fee. The Membership Fee shall be due upon submission of the Business Club Membership Form. If in exceptional circumstances, membership is declined by the Business Club, the Membership Fee shall be refunded to the Member within 14 Business Days.
    • Membership commences when the member submits the Business Club Membership Form. Membership ends upon expiry of the 6 month fixed term or earlier termination in accordance with these Terms and Conditions.
    • The Business Club shall charge an Entry Fee on certain Business Support Services as specified in Section 5.1.2 of these Terms and Conditions.
    • All charges, including the Membership Fee, for the provision of the Business Support Services are exclusive of VAT, for which the Member is liable at the prevailing rate, and these must be paid without deduction or set-off.

 

  • Cool-Off Period

The Member shall be entitled to terminate its Membership with full refund of the Membership Fee if notice of termination is received by the Business Club no later than 30 days after submission of the Business Club Membership Form (the “Cool-Off Period“). Notice of termination must be served to the email address provided under section 14 of these Terms and Conditions. The Business Club shall endeavour to return the Membership Fee to the Member within 14 Business Days of receipt of the termination notice.

 

  • Conduct
    • As a Member of the Business Club, the Member agrees to conduct itself in a professional, honest, law-abiding, ethical, moral and business-like manner, treating other members with respect and fairly at all times.
    • The Business Club shall be entitled to terminate Membership with immediate effect and without refund of the Membership Fee if the Member is found to have behaved or is behaving in a manner inconsistent with section 8.1 and or in a fraudulent or discriminative manner, attempts to circumvent, compete with, disrepute, slander, defame or induce members away from the Business Club.

 

 

  • Confidentiality
    • Confidential and or sensitive commercial information may be disclosed during the course of Business Support Services and or Membership. The Member warrants to keep the confidential and or sensitive commercial information of the Business Club and or other members confidential (except where the information is already in the public domain or where disclosure is required by operation of a law) and to refrain from disclosing and or using such information for purposes outside the Business Club without first obtaining the discloser’s prior written consent. Where the Member breaches the terms of this section 9.1, he/she agrees to indemnify the injured party against all reasonable expenses, losses, damages and or costs arising from the Member’s breach.
    • The requirements of section 9.1 shall remain in force for a period of 1 year following expiry of the Membership or earlier termination in accordance with these Terms and Conditions.
    • Where the Member has been found to have behaved or is behaving in a manner inconsistent with section 9.1 of these Terms and Conditions, the Business Club shall be entitled to terminate its Membership with immediate effect and without refund of the Membership Fee.

 

  • Intellectual Property Rights
    • All intellectual property rights in matter relating to the Business Club and or the Business Support Services such as but not limited to websites, blogs, training materials, handouts, recordings, photos, graphics, branding, promotional material, publications and broadcasts prepared by or on behalf of the Business Club shall remain the sole property of the Business Club.
    • The Member authorises the Business Club to take, hold and use images and data pertaining to the Member in connection with Marketing, branding and promotion of the Business Club.

 

  • Warranties and Liability
    • The Business Club warrants to the Member that the Business Support Services shall be provided using reasonable care and skill as far as reasonably possible. Where the Business Club uses the service of any agent or third party (such as speakers at events) the Business Club does not give any warranty, guarantee or indemnity in that respect.
    • Except in cases of death or personal injury caused by the Business Club’s negligence, the Business Club shall not be liable to the Member by reason of any representation (unless fraudulent or negligent) for any loss of profit or any indirect, special or consequential loss, damages, costs, expenses or other claims (whether caused by the negligence of the Business Club or its agents or otherwise) which arise out of or in connection with the provision of the Business Support Services and the entire liability of the Business Club under or in connection with these Terms and Conditions shall not exceed twice the amount of the Business Club’s charges for the provision of the Business Support Services, except as expressly provided in these Terms and Conditions. This warranty is in lieu of all other terms, conditions and warranties, expressed or implied statutory or otherwise and any other liabilities whatsoever and howsoever arising.
    • The Member shall keep the Business Club indemnified against all damages, costs, losses, claims, expenses or proceedings arising out of or in connection with a breach by the Member of its obligations under these Terms and Conditions.

 

  • Termination of Membership
    • Subject to the confidentiality requirements under section 9.1:
      • The Member may terminate its Membership by giving 30 days’ written notice to the Business Club as set out in section 14 of these Terms and Conditions. The Member shall not be entitled to refund of the Membership Fee if the termination notice is given during the Contract Term and after the Cool-Off Period;
      • The Business Club may terminate the Member’s Membership with immediate effect and without refund of the Membership Fee as specified in sections 8 and 9 of these Terms and Conditions; and
      • Either party may at any time terminate Membership with immediate effect if the other commits any material breach of these Terms and Conditions or goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed. If the Member terminates under the provision of this section 12.1.3, it shall be entitled to receive refund of the portion of the Membership Fee reflecting the un-used portion of the 12 month membership period. If the Business Club terminates under the provisions of this section 12.1.3, the Member shall not be entitled to refund of the Membership Fee.
    • Upon termination of Membership for whatever reason all sums owed by the Member to the Business Club shall become due and payable by the Member with immediate effect.
    • Termination of Membership by the Business Club shall not affect any of its rights against the Member which accrued prior to termination of these Terms and Conditions.

 

  • Personal Data

Where the Business Club receives any personal data from the Member as defined under the Data Protection Act 1998 (the “Act“), it shall fully comply with the provisions of the Act and only deal with the data in order to fulfil its obligations in connection with the Business Club.

 

  • Notices
    • Notices to the Business Club shall be validly served if sent to info@greatbusinessplatforms.com or any other email address notified by the Business Club from time to time. Notice to the Business Club must include the Member’s name or Membership reference as maintained by the Business Club.
    • Notices to the Member shall be validly served if sent to the email address or postal address provided in the Member’s Business Club Membership Form.

 

  • Amendments to the Terms and Conditions

The Business Club shall use commercially reasonable endeavour to provide all the Business Support Services and at the times and dates advertised by the Business Club. However, the Business Club reserves the right to withdraw and or amend the scope and schedule of the Business Support Services and these Terms and Conditions at any time if deemed necessary. Any amendments to the Business Support Services and or these Terms and Conditions shall be notified to the Member.

  • Assignments
    • The Business Club may assign and or transfer part or all of its rights and obligations under these Terms and Conditions to a third party.
    • The Member may, subject to the Business Club’s prior written consent, assign and or transfer part or all of its rights and obligations under these terms and Conditions to a third party.

 

  • No Waiver

No failure by the Business Club in exercising any of its rights under these Terms and Conditions shall be deemed to be a waiver of that right, and no waiver by the Business Club of any breaches of these Terms and Conditions shall be considered as a waiver of any subsequent breach of the same or any other provision by the Member.

 

  • Severability

If any provision of these Terms and Conditions is held by any court or other competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and Conditions and the remainder of the provision in question shall not be affected.

 

  • Force Majeure

The Business Club shall not be liable to the Member or be deemed to be in breach of these Terms and Conditions by reason of any delay in performing, or any failure to perform, any of the Business Club’s obligations in relation to the Business Support Services and or these Terms and Conditions, if the delay or failure is due to any cause beyond the Business Club’s reasonable control, and time shall not be of the essence.

  • Governing Law

English Law shall apply to these Terms and Conditions and the parties agree to submit to the exclusive jurisdiction of the English courts.
